On 20 March 2009 the Office of Fair Trading referred the completed acquisition of Julian Graves Limited (JG) by NBTY Europe Limited (NBTY) to the Competition Commission (CC) for investigation and report. 'NBTY and Julian Graves: A Report on the Completed Acquisition by NBTY Europe Limited of Julian Graves Limited' is the CC's final report on this acquisition.

Key features:

NBTY, through Holland and Barrett Retail Limited (H&B), and JG overlap in the retailing of nuts, seeds, and dried fruit (NSF). The report analyses the competitive interaction between Holland & Barrett and JG and other retailers of NSF. The acquisition is considered on a local and national level, to determine the impact of the merger within different markets.

In order to assess the effects of the acquisition on competition, the report evaluates the competitive constraints with the merger compared with the situation that would have been expected without the merger. The report makes a conclusion on whether the merger of NBTY and JG is likely to cause a substantial lessening of competition within the market for the retailing of NSF, on both a local and national level.

Content includes:

  • Industry background and parties to the merger.

  • The merger and the counterfactual.

  • Analysis of the competitive interaction between H&B, JG and the other retailers of NSF.

  • Barriers to entry and expansion.

  • Competitive effects of the merger.

  • Findings.
