On 29 May 2008, the Office of Fair Trading (OFT) referred the anticipated acquisition of the chlorine packaging and distribution business of Ineos Chlor Limited (Ineos Chlor) by BOC Limited (BOC) to the Competition Commission for investigation and report. This is the Competition Commission's final report on this acquisition.

Ineos Chlor produces chlorine, chlorine derivatives and PVC in several European countries. BOC is a UK-based industrial gases provider.

The report looks to determine whether arrangements are in progress which, if carried into effect, will result in the creation of a merger and, if so, whether the creation of that situation may be expected to result in the lessening of competition within any market in the UK for goods and services.

Chapters include:

  • The product and the companies

  • Proposed transaction and the relevant merger situation

  • Market developments and structure following the merger

  • Market definition

  • Market entry and expansion into distribution

  • Competition between Ineos Chlor and BOC before the merger

  • Assessment of the competitive effects of the proposed merger

  • Findings, remedies and conclusions.

The report concludes that the proposed merger will lead to higher prices and/or less customer choice in the markets for the distribution of packaged chlorine in cylinders and drums in the UK.
