On 30 June 2008, the Office of Fair Trading (OFT) referred the anticipated joint venture between the British Broadcasting Corporation (BBC) through BBC Worldwide Limited (BBCW), Channel Four Television Corporation (C4C) and ITV plc (ITV) relating to the video on demand (VOD) sector to the Competition Commission for investigation and report. This is the report of the Competition Commission's findings.

The report outlines:

  • the major features of the industry;

  • the relevant regulatory regime;

  • licensing of intellectual property rights; and

  • the companies that are the subject of this inquiry.

This provides the context for the Commission's assessment of the competitive effects associated with the JV.

The Commission goes on to analyse the competitive effects of the joint venture, taking into account the situation expected to occur in the absence of it (the counterfactual).

The report makes conclusions on whether the joint venture would be likely to lead to a loss of rivalry between the parties, which may amount to a substantial lessening of competition in the supply of UK TV VOD content at the wholesale and retail levels and in the UK advertising market.

The report then identifies remedies that are effective in addressing any substantial lessening of competition and the resulting adverse effects.
